These Terms govern your use of Di-Spatch (the "Service"), provided by Di-Spatch ("we", "us"). By creating an account you agree to them.
The Service helps trucking and brokerage businesses match loads to trucks, communicate with drivers by text message, and generate rate confirmations and invoices. It is a planning and administrative tool.
Hours-of-service values and locations in the Service are entered by you or your drivers and are used only for planning suggestions. The Service is not an electronic logging device, does not record or certify hours of service, and does not replace your obligations under FMCSA or any other regulation. You and your drivers remain solely responsible for safe and lawful operation, and for deciding whether to accept any suggested assignment.
We provide software. We are not a motor carrier, freight broker, freight forwarder or dispatcher, we do not take possession of or responsibility for freight, and we do not hold, move or collect freight charges on your behalf. You (the carrier or dispatch business) decide which loads to accept, at what rates, and with which drivers. If you use the Service to dispatch for other carriers, you confirm that you hold a signed written dispatch agreement with each of them and that you operate within the law for your activity, including any broker authority your activity requires. Rate confirmations generated by the Service identify the carrier that will haul the load.
Features such as load matching, auto-booking and automated driver check-ins act only within the rules you configure and only for your own account. You are responsible for those rules, for reviewing what the Service books or dispatches, and for any commitment made in your name. You are responsible for holding the right to use any third-party load-board or telematics account you connect and for complying with that provider's terms.
You are responsible for activity under your account and for keeping your credentials secure. You may not use the Service unlawfully, attempt to access other customers' data, or interfere with its operation.
The Service sends text messages to the driver phone numbers you provide. You confirm that you have obtained each driver's consent to receive these messages, that you will honour opt-out requests (including replies of STOP), and that you will remove any driver who withdraws consent. Message and data rates may apply to recipients. Each driver is asked to reply YES before receiving operational texts, may reply STOP at any time to stop all messages from the number, and the Service keeps a dated record of consent requests, opt-ins and opt-outs, which you can view and export. Our SMS terms describe what drivers are told. Where the Service is used without text messages, a driver may instead use a secure check-in link that you share with them.
New accounts receive a 14-day free trial. After the trial, continued use requires a paid plan billed monthly in advance through our payment processor (or the plan you pick). Prices are shown on our website and may change with notice (a change never raises the price of a subscription you already have during a period you have paid for). You may cancel a subscription at any time on the billing page our payment processor provides; access continues to the end of the paid period. Taxes (such as VAT or sales tax) are added where required. Fees already paid are non-refundable except where required by law, but if you ask within 7 days of your first payment we will refund that payment in full.
Documents, invoices, rate confirmations, agreements, signatures, proof-of-delivery images, notes and any other content you or your drivers, brokers or other users put into the Service (“Your Content”) are yours, and you are solely responsible for them: their accuracy, their legality, your right to upload them, and whether they satisfy the record-keeping, tax, insurance, freight-claim, hours-of-service or other retention rules that apply to you. The Service is a convenience and not your system of record. We do not review Your Content, do not give legal, tax or compliance advice, and do not guarantee that any document generated or stored by the Service is valid, enforceable or complete, or that it will remain available. Keep your own copies: export what you need regularly, and before you delete content or close your account. Agreements and signatures made in the Service are electronic records between the people who sign them; we are not a party to them and are not responsible for their terms or for any dispute between you and a broker, shipper, driver or other third party. Documents produced from our templates are drafts to be checked by your own advisor. You will not upload content that is unlawful or that you have no right to share, and you will indemnify us against third-party claims arising from Your Content, to the extent the law allows. We may remove content when required by law or to protect the Service.
You own the data you put into the Service. You grant us the limited right to process it to provide the Service. Our handling of personal data is described in our Privacy Policy.
For driver and customer personal data you enter, you are the controller (or business) and we are your processor (or service provider). We process it only on your instructions and as described in our Privacy Policy, use the sub-processors listed there, apply appropriate security measures, help you respond to data-subject requests (the account export and deletion tools are self-service), and tell you without undue delay after becoming aware of a personal-data breach affecting your data. You must have a lawful basis, and give any notices required, for the data you enter.
The Service is provided "as is". We do not guarantee uninterrupted or error-free operation, or that suggested matches, estimated distances, or margins are accurate. You should verify load details before committing to a haul.
To the fullest extent permitted by law, we are not liable for indirect or consequential losses, lost profits, or lost loads, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
Where a feature uses your own account with another provider (for example your own text-messaging account or email), that provider’s terms and fees apply to you directly and we are not responsible for that provider. Payments are taken by our payment processor; we never see or store your full card details, and a subscription is managed, changed or cancelled on the processor’s billing page.
You may stop using the Service at any time. We may suspend accounts that breach these Terms or are unpaid.
These Terms are governed by the laws of England and Wales, and its courts have jurisdiction, subject to any mandatory consumer or local rights.
